USE CAUTION AND COMMON SENSE WHEN PARTICIPATING IN THIS CONTEST. RESPECT AND ENSURE THE SAFETY OF YOURSELF AND OTHERS. DO NOT TRESPASS OR HARM ANYONE’S PROPERTY.

ELIGIBILITY: The Georgia Power 2022 Light Up the Holidays Contest (“Promotion”) begins on November 20, 2022 at 12:00:01 a.m. Eastern Time (“ET”) and ends on December 26, 2022 at 11:59:59 p.m. ET (“Promotion Period”). The Promotion is open to legal residents of Georgia (US) who are 18 years of age or older at time of entry and are registered users of Facebook. The Promotion is void outside of the U.S., in Puerto Rico, and wherever else prohibited by law. Employees of Georgia Power Company (“Sponsor”), and its parent companies, subsidiaries, affiliates, advertising agencies, public relations agencies, prize suppliers, including any vendors providing services in connection with this Promotion (collectively, the “Sponsor Affiliates”), and employees, agents, directors, and officers (including members of their immediate family – i.e., spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren – or same household) of Sponsor or any Sponsor Affiliates are not eligible to participate.

To participate, you must have an authorized Facebook account, with public profile information available which allows for direct messages from the Sponsor, and follow Georgia Power Company’s Facebook Page located at www.Facebook.com/GeorgiaPower (“GPC’s Facebook Page”) .

 

TO ENTER: During the Promotion Period, post an original photograph that creatively captures how you are “lighting up the holidays,” either through a holiday display OR through acts of community service (the “Photo”) as a comment, along with the hashtag #LightUpTheHolidays on GPC’s Facebook Page. To be eligible, your entry must (i) be submitted during the Promotion Period, (ii) contain the hashtag stated above and your Photo, (iii) contain other text of your own choosing (“Additional Text”), and (iv) comply with the Required Representations and Warranties (defined below).

Each eligible Photo entry submitted during the Promotion Period will count as one (1) entry in the Promotion. Maximum of one (1) entry allowed per person/Facebook account. Creation or use of multiple Facebook accounts to increase odds of winning or to win multiple prizes will deem void all entries from that entrant. Illegible and incomplete entries will not be considered. Sponsor is not responsible for lost, late, misdirected entries or entries not received regardless of cause. In the event of a dispute over who submitted an entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail account associated with the submitting Facebook account. The “authorized account holder” is deemed to be the natural person who is assigned to the e-mail address by the relevant entity responsible for assigning e-mail addresses for the domain associated with the e-mail address. Entries become the property of Sponsor and will not be returned. The computers and processes of Sponsor and Facebook shall be the official timekeeping devices of the Promotion as determined in Sponsor’s sole discretion, and Sponsor shall have sole discretion over what does and does not constitute an eligible entry.

 

REQUIRED REPRESENTATIONS AND WARRANTIES:

To be eligible, all entries must comply with the following criteria (collectively, the “Required Representations and Warranties):  

(i) The entry (including, without limitation, your Photo and Additional Text) must be your own original work, created by you; must not have been previously published, released or distributed in any form; must not have been entered into any other drawing or competition nor won any award. The entry must not contain any material that would violate or infringe upon the rights of any person or entity, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene, offensive, or critical of or negative towards Sponsor, its affiliates, or their respective goods/services, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or which requires a license from any third party.

(ii) You represent that you have the express consent of any identifiable persons appearing in the entry (including, without limitation, your Photo and Additional Text) to their likeness being used in the ways set out in these Official Rules, including Sponsor’s right to use the entry (including the Additional Text) for any future commercial purpose without restrictions. Upon request, you will obtain written consent of any such persons for Sponsor. The entry (including, without limitation, your Photo and Additional Text) must not contain any personally identifiable information of any person.

(iii) The entry (including, without limitation, your Photo and Additional Text) must not contain or reference any names, products or services of any company or entity or any third-party trademarks, logos, trade dress or promotion of any brand, product or service.

(iv) The entry (including, without limitation, your Photo and Additional Text) must be appropriate for public viewing. Without limiting the foregoing, the entry (including the Additional Text) must not be lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, violate any laws or otherwise contain content which Sponsor in its sole discretion decides is inappropriate or objectionable. Your entry must also not disparage or cast a negative light on any person, entity, or brand, product, or service.

(v) The entry and image must comply with all of Facebook’s requirements and terms regarding the use of its services.

Entries (including, without limitation, the submitted images) that do not comply with the above requirements may not be eligible and, if submitted, may be disqualified at any time (including after verification of winners) in Sponsor’s sole discretion. Sponsor reserves the right in its sole discretion to disqualify any entry that it believes violates or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Official Rules. Entrants agree to reimburse Sponsor and Sponsor Affiliates in full in respect of any losses, damages, and expenses, including reasonable attorney fees that they may sustain from the breach of a representation or warranty made by the entrant or the use of any rights granted by the entrant to Sponsor hereunder. By entering, entrant warrants that the submitted entry and Photo (including, Additional Text) comply with the entry requirements set out above including those at (i)-(v) above. By entering, entrant grants to Sponsor a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, sub-licensable, assignable license to reproduce the entry (including, without limitation, your Photo and Additional Text), exploit, copy, modify, adapt, edit, publish and display the entry (including, without limitation, your Photo and Additional Text) in any form, manner, venue, media or technology now known or later developed for any and all purposes, including, without limitation, for purposes of trade, advertising, and promotion as Sponsor and its licensees or assignees determine, without further compensation, notification, or permission. Further, by entering, the entrant hereby waives any moral rights the entrant may have in the entry (including, without limitation, your Photo and Additional Text) in favor of the Sponsor. At Sponsor’s request and in its sole discretion, entrants may be required to execute an assignment and release transferring all rights and ownership of their entry (including, without limitation, your Photo and Additional Text) to Sponsor, the form of such assignment to be determined by Sponsor in its sole discretion.

By submitting an entry, entrant also grants to Sponsor the worldwide, perpetual, irrevocable, fully sub-licensable, and transferable right, but not the obligation, to use any and all names, identities, titles, likenesses, distinctive appearances, physical likenesses, images, portraits, pictures, photographs (whether still or moving), screen personas, voices, vocal styles, statements, gestures, mannerisms, personalities, performance characteristics, biographical data, signatures, and any other indicia or imitations of identity or likeness listed, provided, referenced, or otherwise contained in the entry (including, without limitation, your Photo and Additional Text) (all attributes, collectively, per person, a “Persona”) for purposes of advertising and trade, in any format, medium, or technology now known or later developed without further notice, approval, or compensation, unless prohibited by law.   

Sponsor reserves the right to disqualify any entrant in its sole discretion. If any process fails to operate properly or appears to be tampered with or tainted with errors, fraud or unfair practices, Sponsor reserves the right to use another means to determine the winner(s), i.e. ask the Judging Panel to determine qualifying entries. All entries are subject to verification.

 

WINNER SELECTION & PRIZES: At the end of each week (Monday through Sunday) during the Promotion Period, Sponsor will select at random (3) three eligible entries made during that week to each receive a prize not to exceed $20 in approximate retail value. Prizes may include, but are not limited to, branded coffee mugs, t-shirts, and power banks. Limit one (1) prize per entry (including, if applicable, household, Facebook account, email and/or phone number) during the Promotion Period for this weekly giveaway. Odds of winning will depend upon the number of eligible entries received. All winners are subject to verification.

After the close of the Promotion Period, Sponsor will select two (2) potential Grand Prize winners from all eligible entries made during the Promotion Period. Winner selection will based solely on the total number of engagements on the participants’ entry post on Georgia Power’s Facebook page (including likes/comments) at the close of the Promotional Period, with the two posts receiving the highest engagement each receiving a Grand Prize to include (4) Tickets to the 2022 Atlanta Botanical Gardens Garden Lights, Holiday Nights installation and (4) Tickets to the 2022 Chick-fil-A Bowl in Atlanta, Georgia on Saturday, December 31. The approximate retail value of each Grand Prize package is approximately $1,500. Limit one (1) Grand Prize package per entry (including, if applicable, household, Facebook account, email and/or phone number). All winners are subject to verification.

Prizes are awarded "AS IS." Neither Sponsor nor Sponsor Affiliates make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Promotion or any prize. Prize details and availability are subject to change, in which case a prize of equal value may be substituted at Sponsor's sole discretion. Prizes consist only of the items listed, are non-transferable, with no cash redemption or substitution except at Sponsor's sole discretion. Federal, province, state, or local taxes on prizes, if any, and any other costs, fees or expenses not listed above are the sole responsibility of each winner.

 

NOTIFICATION AND PRIZE PICK-UP: Winners will be notified by direct message on Facebook on or around December 27, 2022. Potential winners must respond to the notification and provide all requested information within twelve (12) hours of the notification message being sent or the potential prize will be forfeited. Upon verification, Sponsor will provide details regarding instructions for the winner to pick up or claim the prize. To claim any prize, Sponsor may require winner(s) to complete, sign, and return Affidavit of Eligibility/Liability Release/Publicity Release forms, and other applicable documents, which may require a social security number, to be signed in person when the winner picks up the prize. At Sponsor’s discretion, winners may be required to produce picture or some other form of proper identification to claim any prize. Sponsor reserves the right to substitute any prize with prize of equal or greater value. If a potential winner cannot be contacted, fails to timely claim the prize, is disqualified, fails to timely execute and return any required forms, or if the prize notification is returned as undeliverable, an alternate winner will be selected from other potential winners and/or by random draw from all remaining eligible entries. If by reason of printing or other error, more prizes are claimed than the number of prizes set forth in these Official Rules, a random drawing will be held to award the advertised number of prizes in the relevant category. Under no circumstances will more than the advertised number of prizes be awarded

 

PUBLICITY & MARKETING: Acceptance of any prize constitutes permission to the Sponsor to use winners’ name, voice, statements, image, likeness, and photograph used as your profile picture on Facebook or other platforms for purposes of advertising and trade, in any medium, without further compensation or notice, unless prohibited by law. Submission of contact information in connection with this Promotion (whether or not required), including mailing address, phone number, and email address during entry constitutes permission for Sponsor to add entrant to Sponsor’s customer database and to contact entrant in the future for promotional and other reasons. You may opt-out of receiving such communications as set forth in Sponsor’s Privacy Policy located at georgiapower.com or as provided within any such marketing materials (e.g., using the “Unsubscribe” feature provided in the footer of Sponsor’s emails).

 

NO LIABILITY & INDEMNIFICATION: Sponsor, Sponsor Affiliates, and Meta Platforms, Inc. are not responsible for and entrants release each from any failures of any kind (whether caused by computer, technical, or human error) which may either limit the entrant’s ability to submit an entry, claim a prize, or otherwise participate in this Promotion, or Sponsor’s ability to include all eligible entries, conduct random drawings, notify potential winners, or otherwise execute this Promotion in the manner intended. Entrants further release and agree to indemnify Sponsor, Sponsor Affiliates, and Meta Platforms, Inc. from all liability, claims or actions of any kind whatsoever alleged to arise from injuries, damages, or losses to persons or property in connection with this Promotion including, but not limited to: (a) the receipt, ownership or use of any prize awarded; (b) any travel or prize-related activity; (c) any typographical or other error in these Official Rules or any other materials disseminated by Sponsor; and (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with any equipment, systems, networks, lines, satellites, servers, computers, or providers used by an entrant, Sponsor, or Sponsor Affiliates.

 

OTHER TERMS: Decisions of Sponsor on all matters related to the Promotion are final. Sponsor reserves the right to cancel or modify the Promotion for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Promotion, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Promotion as determined by Sponsor, in its sole discretion. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL & CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND/OR SEEK DAMAGES FROM ANY INDIVIDUAL MAKING ANY SUCH ATTEMPTS TO THE FULL EXTENT PERMITTED BY LAW.

 

NO AFFILIATION WITH FACEBOOK: The Promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, or Meta Platforms, Inc. Any questions, comments, or complaints regarding the promotion should be directed to Sponsor, not to Facebook or Meta Platforms, Inc.

 

DISPUTE RESOLUTION: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration in Atlanta, Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia.
